Reverse Takeover

Consolidated Team Resources Corp. (the “Company”) wishes to announce, as is required by section 5.2 – 2.2(2) of the Canadian Venture Exchange (“CDNX”) Corporate Finance Manual, that it has acquired 100% of the shares of New Horizon Technologies Inc. (“NHT”) as announced on December 10, 1999. The result is a Reverse Take-over of the Company (the “Reverse Take-Over”). Concurrent with the closing of the Reverse Take-Over, the new Board of Directors of QHR Technologies Inc. (“QHR”) will consist of Alvin Hildebrandt, Lukas Lundin, Dave Goertz and James R. Bond.

The Company is pleased to announce that it has closed a private placement of 400,000 Units in the capital of the Company at the price of $1.00 per Unit. Each Unit consists of one common share and one-half of one non-transferable share purchase warrant. Each full share purchase warrant entitles the purchaser to purchase one common share at a price of $1.00 per share in the first year and $1.25 per share in the second year.

In addition, the Company is pleased to announce that it has closed a brokered private placement of 800,000 Units in the capital of the Company at the price of $1.25 per Unit. Each Unit consists of one common share and one-half of one non-transferable share purchase warrant. Each full share purchase warrant entitles the purchaser to purchase one common share at a price of $1.25 per share in the first year and $1.50 per share in the second year. In connection with the brokered private placement, the Company has paid Haywood Securities Inc. 40,000 agent’s warrants representing 5% of the brokered private placement. Each agent’s warrant will be exercisable into one common share of the Company for a term of two years, at a price of $1.25 in the first year and $1.50 in the second year. The Company has paid the administration fee of $15,000 with shares at a deemed price of $1.25.

In connection with the Reverse Take-Over, the name of the resulting issuer has changed from “Consolidated Team Resources Corp.” to “QHR Technologies Inc.” The trading symbol of the Company has also changed from “CIM” to “QHR”.

NHT is an innovative software company that has developed an enterprise software solution for automating all facets of human resource (HR) issues in large complex organizations. NHT is focused on the design, development, marketing and implementation of computer software for HR management in large enterprises such as health care facilities. As a result, the same personnel date is recorded several different times to complete the information requirements of staff scheduling, workload measurement and payroll. NHT’s management software model is designed to create a central single entry personnel database accessible by all managers in an organization to improve the cost effectiveness of HR management.

NHT has named and marketed its model of software as Quadrant HR (trademarks are pending in Canada and the United States). This HR and payroll product offering, when combined with an award winning staff scheduling system, offers a complete employee information database across the enterprise. No other company currently offers this combination of products, which gives NHT a unique market advantage going into the next millennium.

Quadrant HR allows all manager access to their HR information across the enterprise at the touch of a button. The system enhances organizational communications, provides analysis of the effectiveness and efficiency of HR systems, assists in identifying potential qualitative and quantitative problems within HR systems and promotes job satisfaction and union harmony. Quadrant HR is designed to handle large complicated HR environments that feature complex multi-union contracts, shift work and demanding reporting requirements.

Management plans to accelerate the development of the Quadrant HR business model through acquisitions and e-commerce.
